These Terms of Service (“Terms”) govern your access to and use of www.kiolal.com and any related webpages, features, content, products, subscriptions, communications, and services operated by KIOLAL, LLC, doing business as Ki’olal Biocosmetics (“Ki’olal,” “Company,” “we,” “us,” or “our”).

Please read these Terms carefully. By visiting our website, creating an account, placing an order, enrolling in a subscription, opting in to marketing communications, or otherwise using our services (collectively, the “Services”), you agree to be bound by these Terms and any policies incorporated into them by reference.

If you do not agree to these Terms, you must not access or use the Services.

1. Eligibility and Authority

You must be at least the age of majority in your state or country of residence to make a purchase through the Services. By using the Services, you represent that you have the legal capacity and authority to enter into these Terms.

If you use the Services on behalf of a business or other organization, you represent that you are authorized to bind that organization to these Terms.

You may not use the Services for any unlawful or unauthorized purpose or in violation of any applicable law or regulation.

2. Changes to These Terms

We may update these Terms periodically to reflect changes to our Services, business practices, or legal obligations. Updated Terms will be posted on this page with a revised “Last Updated” date.

Unless otherwise required by law, changes become effective when posted. Your continued use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms.

Material changes affecting subscriptions, recurring charges, dispute rights, or other legally protected rights will be communicated as required by applicable law.

3. Account Registration and Security

Certain features may require you to create an account. You agree to provide accurate, current, and complete information and to update that information when necessary.

You are responsible for:

• Maintaining the confidentiality of your account credentials;

• Restricting access to your account and devices;

• All activities conducted through your account; and

• Notifying us promptly of suspected unauthorized access or use.

We may suspend, restrict, or terminate an account when we reasonably believe it has been compromised, used fraudulently, or operated in violation of these Terms.

4. Product Information and Availability

We make reasonable efforts to present our products accurately. However, product colors, textures, packaging, labeling, ingredients, dimensions, and appearance may vary slightly from images displayed on the website, including because of screen settings, manufacturing updates, ingredient sourcing, or packaging changes.

Product descriptions and other website content are provided for general informational purposes. We do not warrant that every description, image, price, ingredient statement, or other item of content is error-free, complete, or current.

Products and quantities are subject to availability. We may limit quantities, discontinue products, change formulations or packaging, or restrict sales to particular customers, geographic regions, or jurisdictions, subject to applicable law.

If an ordered product becomes unavailable, we may contact you to offer a replacement, backorder, or refund.

5. Skincare, Wellness, and Medical Disclaimer

Ki’olal products are cosmetic and personal-care products unless expressly identified otherwise. They are not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition.

Information provided through the Services, including information regarding ingredients, rituals, skin longevity, mindfulness, wellness, sensory experiences, traditional practices, or product benefits, is provided for general educational and informational purposes only. It is not medical advice and is not a substitute for advice, diagnosis, or treatment from a qualified healthcare professional.

Individual results vary. Testimonials, reviews, photographs, and descriptions of customer experiences do not guarantee that you will achieve the same or similar results.

You are responsible for reviewing ingredient lists and determining whether a product is appropriate for you. Before using a product:

• Follow the instructions and warnings provided with the product;

• Conduct a patch test when appropriate;

• Discontinue use if irritation, discomfort, or an adverse reaction occurs; and

• Consult a healthcare professional if you have allergies, sensitivities, a medical condition, are pregnant or nursing, take medication, or have questions about using a product.

Seek prompt medical attention for any serious or persistent reaction. Ki’olal is not responsible for harm caused by use inconsistent with product instructions, known allergies, misuse, alteration, improper storage, or combining products in a manner not directed by Ki’olal.

Nothing in these Terms excludes liability that cannot legally be excluded.

6. Prices, Taxes, and Currency

Prices are displayed in the currency indicated on the website or during checkout. Depending on your location, prices may be shown in U.S. dollars, Mexican pesos, or another supported currency.

Prices, promotions, and product availability may change without notice. The price charged will be the price displayed at checkout when your order is submitted, subject to correction of obvious errors.

Applicable sales, use, value-added, or similar taxes will be calculated as required based on the order and delivery location.

For international transactions, your bank or payment provider may charge currency-conversion or foreign-transaction fees. Ki’olal does not control and is not responsible for those fees.

7. Orders and Acceptance

Submitting an order constitutes an offer to purchase the products in your cart. An automated order confirmation acknowledges receipt of your order but does not necessarily mean that the order has been accepted.

We may accept, reject, limit, or cancel an order for legitimate reasons, including:

• Product unavailability;

• Suspected fraud or unauthorized activity;

• Errors in pricing, product information, promotions, or inventory;

• Payment authorization problems;

• Shipping restrictions;

• Violation of these Terms; or

• Orders that appear to be placed by unauthorized resellers.

An order is accepted when it is processed for fulfillment or when we otherwise confirm acceptance.

If we cancel an order after payment has been collected, we will issue a refund to the original payment method, subject to your financial institution’s processing time.

You agree to provide accurate billing, shipping, payment, and contact information. Ki’olal is not responsible for delays or losses resulting from inaccurate or incomplete information supplied by the customer.

8. Payments

You authorize Ki’olal and its payment-service providers to charge the payment method selected at checkout for the total amount shown, including products, shipping, taxes, duties collected at checkout, and any other clearly disclosed charges.

Payment processing is handled by third-party providers. Your use of a particular payment method may also be subject to the provider’s terms and privacy practices.

If a payment is declined, reversed, charged back, or determined to be unauthorized, we may cancel the order, suspend associated accounts, or take other lawful action to recover amounts properly owed.

Installment-payment services, digital wallets, and third-party financing options are provided by independent companies. Eligibility, approval, repayment, fees, and disputes relating to those services are governed by the applicable provider’s terms.

9. Subscriptions and Automatic Renewal

Certain products may be offered through an automatically renewing subscription. Before you enroll, the applicable product page or checkout process will disclose the subscription price, discount, delivery frequency, renewal frequency, and available cancellation method.

By enrolling in a subscription, you expressly authorize Ki’olal and its payment provider to charge your selected payment method automatically for each recurring order, including applicable taxes and shipping charges, until you cancel the subscription.

Subscription benefits and discounts apply only while the subscription remains active and may not be combined with other promotions unless expressly stated.

You may cancel, pause, or modify an eligible subscription through your customer account or by contacting us at hello@kiolal.com, subject to any processing deadline disclosed during enrollment. Cancellation prevents future renewal charges but does not ordinarily cancel an order that has already been processed for fulfillment.

If your payment method cannot be charged, we or our subscription provider may retry the payment as permitted by law and applicable payment-network rules. We may suspend or cancel a subscription after unsuccessful payment attempts.

We may change subscription pricing or material subscription terms prospectively. When required, we will provide advance notice and obtain any legally required consent before applying a change.

Subscription charges already processed are subject to our Refund Policy and applicable law. Nothing in this section limits cancellation, renewal-notice, or refund rights available under the laws of your state or country.

10. Promotions, Gifts, Discount Codes, and Special Offers

Promotions, complimentary gifts, discount codes, referral benefits, affiliate offers, and limited-time campaigns are subject to the specific terms displayed with the offer.

Unless otherwise stated:

• Promotions are available for a limited time and while supplies last;

• Offers cannot be combined;

• Discount codes have no cash value;

• Complimentary gifts may require the purchase of qualifying products;

• Only one promotional benefit may be applied per order;

• Promotions are limited to one per customer or household; and

• Offers may be modified or discontinued before an order is placed.

If a qualifying product is returned, the customer may also be required to return the complimentary gift in unused and resalable condition. If the gift is not returned, where permitted by law, its disclosed retail value may be deducted from the refund.

We may cancel an order or promotional benefit when we reasonably determine that an offer has been obtained through fraud, manipulation, duplicate accounts, automated activity, resale activity, or violation of the applicable promotional terms.

Any additional campaign-specific terms presented with an offer are incorporated into these Terms.

11. Shipping and Delivery

Shipping estimates are estimates only and are not guaranteed delivery dates. Orders may be delayed by carriers, customs, weather, natural events, supply-chain disruptions, incorrect addresses, high order volume, or circumstances beyond our reasonable control.

Risk of loss and title transfer as provided by applicable law and the terms of the carrier or transaction. Nothing in this section limits any non-waivable consumer rights.

You are responsible for providing a complete and accurate delivery address and for monitoring tracking information. If an order is returned because of an incorrect address, refusal, failure to collect, or unsuccessful delivery, additional shipping charges may apply before the order is resent.

Our current shipping practices and available shipping options are provided during checkout and, where applicable, in our posted Shipping Policy.

12. International Orders, Customs, and Duties

International orders may be subject to customs inspections, import restrictions, duties, tariffs, taxes, brokerage fees, or other governmental charges.

Unless expressly collected by Ki’olal during checkout, the recipient is responsible for these charges. Ki’olal does not control customs authorities and cannot predict whether charges or delays will occur.

Customers are responsible for confirming that products may be lawfully imported into and used in the destination country. We may cancel orders to destinations where delivery is restricted or commercially impracticable.

Refusal to pay customs charges or accept an international shipment may result in return or abandonment of the package. Any refund will be determined under our Refund Policy and may be reduced by nonrecoverable shipping, customs, return, or carrier charges to the extent permitted by law.

13. Returns, Refunds, and Exchanges

Returns, exchanges, damaged shipments, and refunds are governed by our Refund Policy, which is incorporated into these Terms by reference and available at:

Please review the Refund Policy before purchasing. Statutory consumer rights that cannot lawfully be limited remain unaffected.

If a product arrives damaged, defective, or incorrect, contact us promptly at hello@kiolal.com and include your order number and clear photographs of the product and packaging.

Refund timing may vary depending on the payment method and financial institution. We do not control the time required by banks or payment providers to post an approved refund.

14. SMS/MMS Marketing Program

By voluntarily providing your mobile telephone number and affirmatively opting in, you agree to receive recurring automated promotional and personalized marketing text messages, including SMS and MMS messages, from KIOLAL, LLC, doing business as Ki’olal Biocosmetics (“Ki’olal”), at the mobile number you provided. Messages may include promotional offers, product launches, cart reminders, and other marketing communications.

Consent is not a condition of any purchase. Message frequency varies. Message and data rates may apply. Reply STOP to unsubscribe or HELP for assistance. You may also contact us at hello@kiolal.com.

After submitting an opt-out request, you may receive one final message confirming your unsubscribe request. We will process opt-out requests as required by applicable law. Carriers are not liable for delayed or undelivered messages.

You represent that you are the authorized user of the mobile number provided and agree to notify Ki’olal if your number changes or is reassigned. You understand that consent applies only to the number you provided.

We may suspend, modify, or discontinue the SMS/MMS marketing program at any time, subject to applicable law. Participation is also governed by our Privacy Policy.

Transactional text messages concerning an order, payment, account, delivery, security issue, or customer-service request may be treated separately from marketing messages as permitted by law. Opting out of marketing messages may not prevent necessary nonmarketing communications requested by you or relating to an active transaction.

15. Email Marketing

If you subscribe to marketing emails, you agree to receive promotional communications from Ki’olal. You may unsubscribe at any time by using the unsubscribe link included in an email or by contacting us.

Unsubscribing from marketing emails will not prevent us from sending transactional or service-related communications concerning orders, subscriptions, accounts, security, or customer-service requests.

16. Privacy

Our collection, use, disclosure, and protection of personal information are governed by our Privacy Policy, which is incorporated into these Terms and available at:

By using the Services, you acknowledge that you have reviewed the Privacy Policy.

Consent to receive marketing communications must be provided separately when required and is not created merely by accepting these Terms.

17. Reviews, Photographs, and Other User Content

You may be permitted to submit product reviews, comments, photographs, videos, testimonials, social-media content, or other materials (“User Content”).

You retain ownership of your User Content. By submitting or intentionally making User Content available to Ki’olal, you grant us a nonexclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, display, distribute, adapt, format, and publish that User Content in connection with operating, improving, and promoting Ki’olal and its products, subject to applicable law and any separate written agreement.

You represent that:

• You own or control the necessary rights to the User Content;

• The content is truthful and based on your genuine experience;

• Any material connection, payment, gift, or incentive has been appropriately disclosed;

• The content does not violate another person’s privacy, publicity, copyright, trademark, or other rights; and

• The content is not unlawful, misleading, defamatory, obscene, abusive, or malicious.

We may remove or decline to publish User Content at our discretion, but we are not obligated to monitor all submissions.

Nothing in these Terms requires a consumer to provide a positive review in exchange for a gift, discount, or other incentive. Any incentivized review must reflect the reviewer’s honest opinion and clearly disclose the incentive.

18. Intellectual Property

The Services and their contents—including the Ki’olal name, logos, product names, product designs, photographs, videos, graphics, text, website layout, sounds, music, rituals, educational materials, and other content—are owned by or licensed to Ki’olal and are protected by intellectual-property laws.

Except as expressly permitted in writing, you may not:

• Copy, reproduce, modify, publish, distribute, sell, license, or exploit our content;

• Use our trademarks, trade dress, product imagery, or branding;

• Create derivative works from our content;

• Scrape, extract, or collect website data through automated means;

• Frame or mirror any part of the Services;

• Use our content to train artificial-intelligence or machine-learning systems; or

• Suggest an affiliation, endorsement, or partnership with Ki’olal.

You may access and use the Services only for personal, noncommercial shopping and informational purposes.

19. Prohibited Conduct

You agree not to:

• Violate any applicable law or regulation;

• Use the Services for fraud, resale without authorization, or other unauthorized commercial activity;

• Submit false or misleading information;

• Impersonate another person or misrepresent your identity;

• Interfere with the security, availability, or operation of the Services;

• Introduce viruses, malicious code, or harmful technology;

• Attempt unauthorized access to accounts, systems, or data;

• Harvest personal information from other users;

• Manipulate reviews, promotions, affiliate tracking, pricing, or inventory;

• Use bots or automated systems to place orders or obtain limited products;

• Infringe intellectual-property, privacy, or publicity rights; or

• Engage in conduct that could harm Ki’olal, its customers, service providers, communities, or reputation.

20. Third-Party Services and Links

The Services may contain links to or integrations with third-party websites, applications, payment providers, social-media platforms, subscription providers, shipping companies, or other services.

Third-party services are governed by their own terms and privacy policies. Ki’olal does not control and is not responsible for third-party content, availability, security, products, services, or practices.

A link or integration does not necessarily constitute Ki’olal’s endorsement of the third party.

21. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND WEBSITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

KI’OLAL DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

WE DO NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, SECURE, UNINTERRUPTED, OR ERROR-FREE, OR THAT WEBSITE CONTENT WILL ALWAYS BE ACCURATE OR COMPLETE.

PRODUCT WARRANTIES AND CONSUMER RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED OR DISCLAIMED REMAIN IN EFFECT.

22. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KI’OLAL AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, ARISING FROM OR RELATING TO THE SERVICES, PRODUCTS, OR THESE TERMS.

TO THE FULLEST EXTENT PERMITTED BY LAW, KI’OLAL’S TOTAL LIABILITY FOR A CLAIM RELATING TO A PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT YOU PAID TO KI’OLAL FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that cannot be limited under applicable law, including liability for fraud, willful misconduct, or personal injury to the extent caused by conduct for which liability cannot lawfully be excluded.

Some jurisdictions do not allow certain warranty exclusions or liability limitations. In those jurisdictions, the exclusions and limitations apply only to the maximum extent permitted by law.

23. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Ki’olal and its members, managers, officers, employees, contractors, affiliates, licensors, and service providers from third-party claims, damages, liabilities, judgments, and reasonable costs arising from:

• Your unlawful or unauthorized use of the Services;

• Your material violation of these Terms;

• Your User Content;

• Your infringement of another person’s rights; or

• Fraudulent or willful misconduct by you.

This section does not require a consumer to indemnify Ki’olal for Ki’olal’s own negligence, unlawful conduct, or other liability that cannot be shifted under applicable law.

24. Suspension and Termination

We may suspend or terminate access to the Services when we reasonably believe that a user has violated these Terms, engaged in fraud or unlawful conduct, threatened the security of the Services, or harmed Ki’olal or another person.

You may stop using the Services at any time. Termination does not eliminate payment obligations or other responsibilities incurred before termination.

Provisions that by their nature should survive termination—including provisions concerning intellectual property, payment obligations, disclaimers, limitation of liability, indemnification, and disputes—will survive.

25. Governing Law and Venue

These Terms and any dispute arising from or relating to them or the Services are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Subject to any mandatory rights or venue protections available to consumers under applicable law, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services. You and Ki’olal consent to the personal jurisdiction of those courts.

Nothing in this section prevents either party from seeking relief in small-claims court when eligible or from exercising consumer rights that cannot be waived by contract.

26. Force Majeure

Ki’olal will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, labor disputes, supply-chain interruptions, transportation disruptions, customs delays, carrier failures, utility outages, internet outages, cyberattacks, or governmental actions.

This section does not excuse obligations that cannot legally be excused or affect refunds required by applicable law.

27. Electronic Communications

By using the Services, you consent to receive agreements, disclosures, notices, receipts, and other transaction-related communications electronically, including by email or through your account.

You may retain electronic communications for your records. You are responsible for keeping your email address and other contact information current.

Consent to transactional electronic communications does not constitute consent to receive marketing text messages.

28. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Ki’olal may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or transfer of the Services, subject to applicable law.

29. Severability

If any provision of these Terms is found unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent permitted or severed if necessary. The remaining provisions will remain in full force and effect.

30. No Waiver

Our failure or delay in enforcing a provision of these Terms does not waive our right to enforce it later. A waiver is effective only if it is in writing and signed by an authorized representative of Ki’olal.

31. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, subscription disclosures, promotional terms, and other policies expressly incorporated by reference, constitute the entire agreement between you and Ki’olal concerning the Services.

If a specific offer, subscription, or promotion has additional terms, those specific terms will control solely with respect to that offer, subscription, or promotion if they conflict with these general Terms.
